Ryze My Life partner program terms

01Parties

These terms are entered into between Patrya Gestion Sàrl, a limited liability company (Sàrl) under Swiss law, UID CHE-325.953.314, chemin des Matines 7, 1007 Lausanne, Switzerland, publisher of the services of the Ryze ecosystem (the “Publisher”), and the natural or legal person who accepts them in order to take part in the Ryze My Life partner program (the “Partner”).

The Publisher and the Partner are together the “Parties”.

02Purpose

These terms set the rules under which the Partner recommends or presents the offers of the Ryze ecosystem, and the remuneration the Partner receives when a client they brought in signs and pays.

They give the Partner no authority to bind the Publisher. Only the Publisher enters into contracts with clients, sets prices and collects payments.

03Independent status

The Partner acts fully independently. These terms create no employment contract, no relationship of subordination, no company and no exclusive commercial agency.

• No exclusivity: the Partner remains free to work for other businesses, and the Publisher to work with other partners.
• The Partner freely organises their time, means and methods, in compliance with the article “Obligations of the Partner”.
• The Partner declares that they operate under a status that allows them to invoice: for example micro-entrepreneur (auto-entrepreneur) in France, self-employed in Switzerland or Belgium, or a company.
• The Partner alone bears their social security contributions, taxes, insurance and, where applicable, the VAT that applies to their status.
• Every commission is paid against an invoice from the Partner. Without a compliant invoice, no payment can be made.

04The three roles and the open businesses

• Clipper: the Partner publishes, with their personal link, the content supplied by the Publisher (Katia Ryze content for Ryze Systems, Ryze Worlds content). The Partner is paid on results, never for merely publishing.
• Referral partner: the Partner passes on to the Publisher the contact details of a prospect who has agreed to be contacted. The Publisher handles the sale.
• Closer: the Partner presents the offer to the prospect themselves, using the Ryze My Life application (diagnostic, offer priced by the engine, signature). Prices and commercial terms remain those set by the Publisher.

Each role is open only on certain businesses of the ecosystem. The matrix below is authoritative:

A Partner may hold several roles. A combination that is closed in the matrix gives no right to any remuneration.

05Remuneration

Commissions are expressed in euros (€), excluding tax. The rate card below is produced by the Publisher’s earnings engine, the same one that feeds the ryzemylife.com site. The examples are reference cases, not promises of income.

Ryze Worlds rewards exclusively in kind (subscription discount or free subscription, free months, goodies): no sum of money is owed on that basis. For Ryze Shift and Ryze My Life sponsorship, the commission is communicated in writing at onboarding; until it is, no amount is owed.

06Triggering event and payment

• The right to a commission arises when the Publisher actually receives the client’s first payment. A signature without payment gives no right to anything.
• The Publisher informs the Partner of the payment received (in the application or in writing); the Partner then issues their invoice.
• The commission is paid by bank transfer within 30 days end of month from receipt of a compliant invoice.
• Bank details are sent separately, through a secure channel, never by instant message.

07Attribution of clients

• Each Partner has a personal link and QR code. A client is attributed to the Partner through that link, that QR code, or an entry of the contact in the Ryze My Life application.
• First-touch rule: the client is attributed to the first Partner who registered them.
• Attribution window of 90 days: the client must sign within 90 days of that first registration. After that, the attribution lapses, unless the Publisher agrees otherwise in writing.
• No self-referral: the Partner cannot be paid on their own subscription, nor on that of a company they control.
• A contact already known to the Publisher (existing client or prospect in progress) cannot be attributed.
• In case of doubt or conflict between Partners, the Publisher decides on the basis of the application’s records and informs those concerned in writing.

08Client cancellation and refund

If the client is refunded, in full or in part, within 60 days of their first payment, the corresponding commission is cancelled if it has not yet been paid, or recovered (by set-off against later commissions or by repayment) if it has already been paid, in due proportion.

09Obligations of the Partner

• Present the offers honestly, with no false or misleading information.
• Promise the client no result (revenue, savings, earnings) and no term that the Publisher has not approved in writing.
• Respect the Ryze brand, the brands of the ecosystem and the Katia Ryze content: no alteration, misuse or use outside the program.
• No spam: no unsolicited bulk messages by email, SMS, WhatsApp or social networks.
• Do not buy keywords or advertising on the Ryze brand names (Ryze, Ryze Systems, Ryze My Life, Katia Ryze, etc.), and do not register a domain name or an account that uses them.
• Pass on to the Publisher only the contact details of people who have agreed to be contacted, in accordance with the GDPR and the Swiss Data Protection Act (nFADP).
• Do not present yourself as an employee, agent or legal representative of the Publisher.

A serious breach entitles the Publisher to suspend the Partner’s account and to terminate without notice; commissions linked to the breach are not owed.

10Confidentiality

The Partner keeps confidential the non-public information they access as part of the program: prospect and client data, diagnostics, offers, commercial terms, and the Publisher’s tools and methods. This obligation lasts for the duration of the program and for two years after it ends.

11Intellectual property

The partner kit, the visuals, videos, texts, Katia Ryze content, the Ryze My Life application and the brands of the ecosystem remain the exclusive property of the Publisher or of their owners. The Partner receives a personal, non-exclusive, free right of use, limited to the duration of the program and to the promotion of Ryze offers. This right ends with the program.

12Personal data

The Publisher processes the Partner’s data (identity, contact details, invoicing, activity in the application) to run the program and pay commissions. Details of the processing, the service providers and the rights are set out in the privacy policy.

For the data of the prospects they pass on, the Partner warrants that they have obtained their agreement; the Publisher then processes that data as controller.

13Term and termination

These terms apply from their acceptance, for an indefinite period. Either Party may end them at any time, in writing (email included), with no particular notice and no compensation.

Commissions earned before the end, meaning those for which the client’s first payment was received before the termination date, remain owed on the terms above. The Partner then stops using the kit, the content and the brands.

14Changes to the terms

The Publisher may change these terms and the rate card. Every new version is dated and notified to the Partner at least 30 days before it takes effect. A Partner who refuses it may terminate before that date; otherwise the new version applies. A change never applies to commissions already earned.

15Governing law and jurisdiction

These terms are governed by Swiss law. Place of jurisdiction: Lausanne, the Publisher’s registered office.

This choice does not deprive a person residing in the European Union of the mandatory protections granted by the law of their country of residence, nor of their rights under the GDPR.

Before any legal action, the Parties seek an amicable solution in writing.

16Acceptance

The Partner accepts these terms either by ticking the box provided in the Ryze My Life application, or by signing the written version. The Publisher keeps the accepted version and its date.
